A South Dakota Tax Status Complinace Certificate is issued by the South Dakota Department of Revenue for a Company or Sole Proprietor which has met all of its South Dakota tax obligations.

A South Dakota Tax Status Certificate is different from a South Dakota Good Standing Certificate, also referred to as a South Dakota Certificate of Existence or South Dakota Certificate of Status.  A South Dakota Good Standing Certificate is issued by the South Dakota Secretary of State and implies that the South Dakota business is up to date with all required business filings and is in compliance with South Dakota corporation laws.

A valid expiration date is not written on a South Dakota Tax Status Certificate.  The validity of a South Dakota Tax Clearance Certificate is usually determined by the intended recipient of the South Dakota Tax Status Certificate.

In order to be in Good Standing a South Dakota Corporation or LLC must be in compliance with the following:

• The Foreign or Domestic company must be registered as a legal entity with the South Dakota (SD) Secretary of State   (SD Corporation, SD LP/LLP or SD LLC)
• The South Dakota company cannot be in default or suspended as defined by the state of South Dakota
• The South Dakota company must have paid all required South Dakota state taxes, penalties and fees
