Wyoming Good Standing Certificate (Wyoming Certificate of Existence) is issued by the Wyoming Secretary of State
and is often required for loans, to renew
business licenses, or for tax or other business purposes in the state of Wyoming or in any other state. A Wyoming Certificate of Good Standing
verifies that your Wyoming Corporation or Wyoming LLC is in Existence, is authorized to transact business in
the state of Wyoming, and complies with all state of Wyoming
requirements and therefore is in "Good Standing" in the state of Wyoming (WY).
Also known as a Wyoming Certificate of Existence, a
Wyoming Certificate of Status or a Wyoming Certificate of Authority, the Wyoming Good Standing
Certificate is a one page document provided by the Wyoming Secretary of State and is conclusive
evidence of the existence of your Wyoming Corporation or Wyoming LLC. In most cases a Wyoming Certificate of Good Standing
can be valid up to three months.
To obtain a Wyoming Good Standing Certificate
(Wyoming Certificate of Existence), your company must
be registered as a legal entity with the Wyoming Secretary of State, i.e., your company is in existence
in the state of Wyoming, and cannot be in default of Wyoming corporate rules, or suspended by the state of Wyoming.

(WY Corporation, WY LLP or WY LLC)
- Your company cannot be in default or suspended as defined by the state of Wyoming
- Your company must have filed all required annual reports required by the Wyoming Secretary of State
- Your company must have paid all required Wyoming state taxes and fees

Foreign Qualifications
|

Many companies require a Wyoming Good Standing Certificate (Wyoming Certificate of Existence) to qualify as a
"Foreign Corporation" in a state other than Wyoming.
A Foreign Corporation is a corporation that is registered in one state and has the Authority to do business in another state.
For example, a corporation registered in the state of California that plans to do business in the state of Wyoming is a "Foreign Corporation"
in the state of Wyoming.

Most states require you to register as a Foreign Corporation in order to do business in their state.
In order to register as a Foreign Corporation, you must prove that you are registered in another state as a domestic
Corporation, and you usually have to prove this with a state Certificate of Good Standing (Certificate of Existence/Certificate of Authority).
