Vermont Good Standing Certificate (Vermont Certificate of Existence) is issued by the Vermont Secretary of State
and is often required for loans, to renew
business licenses, or for tax or other business purposes in the state of Vermont or in any other state. A Vermont Certificate of Good Standing
verifies that your Vermont Corporation or Vermont LLC is in Existence, is authorized to transact business in
the state of Vermont, and complies with all state of Vermont
requirements and therefore is in "Good Standing" in the state of Vermont (VT).
Also known as a Vermont Certificate of Existence, a
Vermont Certificate of Status or a Vermont Certificate of Authority, the Vermont Good Standing
Certificate is a one page document provided by the Vermont Secretary of State and is conclusive
evidence of the existence of your Vermont Corporation or Vermont LLC. In most cases a Vermont Certificate of Good Standing
can be valid up to three months.
To obtain a Vermont Good Standing Certificate
(Vermont Certificate of Existence), your company must
be registered as a legal entity with the Vermont Secretary of State, i.e., your company is in existence
in the state of Vermont, and cannot be in default of Vermont corporate rules, or suspended by the state of Vermont.

Requirements to obtain a Vermont Good Standing Certificate:

- Your company must be registered as a legal entity with the Vermont Secretary of State
(Corporation, LLP or LLC)
- Your company cannot be in default or suspended as defined by the state of Vermont
- Your company must have filed all required annual reports required by the Vermont Secretary of State
- Your company must have paid all required Vermont state taxes and fees

Foreign Qualifications

Many companies require a Vermont Good Standing Certificate (Vermont Certificate of Existence) to qualify as a
"Foreign Corporation" in a state other than Vermont.
A Foreign Corporation is a corporation that is registered in one state and has the Authority to do business in another state.
For example, a corporation registered in the state of California that plans to do business in the state of Vermont is a "Foreign Corporation"
in the state of Vermont.

Most states require you to register as a Foreign Corporation in order to do business in their state.
In order to register as a Foreign Corporation, you must prove that you are registered in another state as a domestic
Corporation, and you usually have to prove this with a state Certificate of Good Standing (Certificate of Existence/Certificate of Authority).
