Texas Good Standing Certificate (Texas Certificate of Existence) is issued by
the Texas Secretary of State and is often required for loans, to renew business licenses, or for tax or other business
purposes in the state of Texas or in any other state.
A Texas Certificate of Good Standing is evidence that your Texas business franchise - your Texas
Corporation or Texas LLC - is in Existence, is authorized to
transact business in the state of Texas, and complies with all state of Texas requirements and therefore is in
"Good Standing" in the state of Texas (TX).
Also known as a Texas Certificate of Existence, a
Texas Certificate of Status or a Texas
Certificate of Authority, the Texas Good Standing
Certificate is a one page document which looks like a letter and bears the seal of the state of Texas
Secretary of State or another Texas state agency if the Texas Secretary of State is not the issuing authority.
A Texas Good Standing Certificate is provided by the Texas Secretary of State and is conclusive evidence of the
existence of your Texas business franchise - your Texas Corporation or Texas LLC.
In most cases a Texas Certificate of Good Standing can be valid up to
three months.
To obtain a Texas Good Standing Certificate (Texas Certificate of
Existence), your company must be registered as a legal entity with the Texas Secretary of State, i.e., your company is
in existence in the state of Texas, and cannot be in default of
Texas corporate rules, or suspended by the state of Texas.

Can I get a Texas Certificate of Good Standing for a TX Sole Proprietorship or TX DBA
|
If you own a Texas business and have not formed a Corporation, LLC, Partnership or other legal entity in the state of Texas,
then you are a Sole Proprietor by default.
Nothing needs to be filed with the Texas Secretary of State to create a Sole Proprietorship.
If you plan to use a name different from your first and last name then you would register in the Texas county in which you do business
with your first and last name "Doing Business As" (DBA) the name of your business (for example: Sue Smith, DBA Sue's Texas Business).
A Texas Good Standing Certificate (Texas Certificate of Existence) is
issued by the Texas Secretary of State for business entities that have registered with the state of Texas.
A Sole Proprietorship or DBA is not normally registered with the Texas Secretary of State so a
Texas Certificate of Good Standing cannot be issued for them.

A Foreign Corporation is a Corporation that is registered with a state agency, usually the Secretary of State, in one state and has the Authority to do business in another state.
For example, a Corporation registered in the state of California that plans to do business in the state of Texas is a "Foreign Corporation"
in the state of Texas.

in order to do business in their state.
In order to register as a Foreign Corporation in any state you must provide evidence that you are registered and are in
