and is often required for loans, to renew
business licenses, or for tax or other business purposes in the state of South Dakota or in any other state. A South Dakota Certificate of Good Standing
verifies that your South Dakota Corporation or South Dakota LLC is in Existence, is authorized to transact business in
the state of South Dakota, and complies with all state of South Dakota
requirements and therefore is in "Good Standing" in the state of South Dakota (SD).
Also known as a South Dakota Certificate of Existence, a
South Dakota Certificate of Status or a South Dakota Certificate of Authority, the South Dakota Good Standing
Certificate is a one page document provided by the South Dakota Secretary of State and is conclusive
evidence of the existence of your South Dakota Corporation or South Dakota LLC. In most cases a South Dakota Certificate of Good Standing
can be valid up to three months.
To obtain a South Dakota Good Standing Certificate
(South Dakota Certificate of Existence), your company must
be registered as a legal entity with the South Dakota Secretary of State, i.e., your company is in existence
in the state of South Dakota, and cannot be in default of South Dakota corporate rules, or suspended by the state of South Dakota.

- Your company cannot be in default or suspended as defined by the state of South Dakota

- Your company must have paid all required South Dakota state taxes and fees

Foreign Qualifications
|

Many companies require a South Dakota Good Standing Certificate (South Dakota Certificate of Existence) to qualify as a
"Foreign Corporation" in a state other than South Dakota.
A Foreign Corporation is a corporation that is registered in one state and has the Authority to do business in another state.
For example, a corporation registered in the state of California that plans to do business in the state of South Dakota is a "Foreign Corporation"
in the state of South Dakota.

Most states require you to register as a Foreign Corporation in order to do business in their state.
In order to register as a Foreign Corporation, you must prove that you are registered in another state as a domestic
Corporation, and you usually have to prove this with a state Certificate of Good Standing (Certificate of Existence/Certificate of Authority).
