the state of Rhode Island, and complies with all state of Rhode Island
requirements and therefore is in "Good Standing" in the state of Rhode Island (RI).
Also known as a Rhode Island Certificate of Existence, a
Rhode Island Certificate of Status or a Rhode Island Certificate of Authority, the Rhode Island Good Standing
Certificate is a one page document provided by the Rhode Island Secretary of State and is conclusive
evidence of the existence of your Rhode Island Corporation or Rhode Island LLC. In most cases a Rhode Island Certificate of Good Standing
can be valid up to three months.
To obtain a Rhode Island Good Standing Certificate
(Rhode Island Certificate of Existence), your company must
be registered as a legal entity with the Rhode Island Secretary of State, i.e., your company is in existence
in the state of Rhode Island, and cannot be in default of Rhode Island corporate rules, or suspended by the state of Rhode Island.

Foreign Qualifications

Many companies require a Rhode Island Good Standing Certificate (Rhode Island Certificate of Existence) to qualify as a
"Foreign Corporation" in a state other than Rhode Island.
A Foreign Corporation is a corporation that is registered in one state and has the Authority to do business in another state.
For example, a corporation registered in the state of California that plans to do business in the state of Rhode Island is a "Foreign Corporation"
in the state of Rhode Island.

Most states require you to register as a Foreign Corporation in order to do business in their state.
In order to register as a Foreign Corporation, you must prove that you are registered in another state as a domestic
Corporation, and you usually have to prove this with a state Certificate of Good Standing (Certificate of Existence/Certificate of Authority).
