North Dakota Good Standing Certificate (North Dakota Certificate of Existence) is issued by the North Dakota Secretary of State
and is often required for loans, to renew
business licenses, or for tax or other business purposes in the state of North Dakota or in any other state. A North Dakota Certificate of Good Standing
verifies that your North Dakota Corporation or North Dakota LLC is in Existence, is authorized to transact business in
the state of North Dakota, and complies with all state of North Dakota
requirements and therefore is in "Good Standing" in the state of North Dakota (ND).
Also known as a North Dakota Certificate of Existence, a
North Dakota Certificate of Status or a North Dakota Certificate of Authority, the North Dakota Good Standing
Certificate is a one page document provided by the North Dakota Secretary of State and is conclusive
evidence of the existence of your North Dakota Corporation or North Dakota LLC. In most cases a North Dakota Certificate of Good Standing
can be valid up to three months.
To obtain a North Dakota Good Standing Certificate
(North Dakota Certificate of Existence), your company must
be registered as a legal entity with the North Dakota Secretary of State, i.e., your company is in existence
in the state of North Dakota, and cannot be in default of North Dakota corporate rules, or suspended by the state of North Dakota.

Requirements to obtain a North Dakota Good Standing Certificate:

- Your company must be registered as a legal entity with the North Dakota Secretary of State
(Corporation, LLP or LLC)
- Your company cannot be in default or suspended as defined by the state of North Dakota
- Your company must have filed all required annual reports required by the North Dakota Secretary of State
- Your company must have paid all required North Dakota state taxes and fees

Foreign Qualifications

Many companies require a North Dakota Good Standing Certificate (North Dakota Certificate of Existence) to qualify as a
"Foreign Corporation" in a state other than North Dakota.
A Foreign Corporation is a corporation that is registered in one state and has the Authority to do business in another state.
For example, a corporation registered in the state of California that plans to do business in the state of North Dakota is a "Foreign Corporation"
in the state of North Dakota.

Most states require you to register as a Foreign Corporation in order to do business in their state.
In order to register as a Foreign Corporation, you must prove that you are registered in another state as a domestic
Corporation, and you usually have to prove this with a state Certificate of Good Standing (Certificate of Existence/Certificate of Authority).
