Michigan Good Standing Certificate (Michigan Certificate of Existence) is issued by the Michigan Secretary of State
and is often required for loans, to renew
business licenses, or for tax or other business purposes in the state of Michigan or in any other state. A Michigan Certificate of Good Standing
verifies that your Michigan Corporation or Michigan LLC is in Existence, is authorized to transact business in
the state of Michigan, and complies with all state of Michigan
requirements and therefore is in "Good Standing" in the state of Michigan (MI).
Also known as a Michigan Certificate of Existence, a
Michigan Certificate of Status or a Michigan Certificate of Authority, the Michigan Good Standing
Certificate is a one page document provided by the Michigan Secretary of State and is conclusive
evidence of the existence of your Michigan Corporation or Michigan LLC. In most cases a Michigan Certificate of Good Standing
can be valid up to three months.
To obtain a Michigan Good Standing Certificate
(Michigan Certificate of Existence), your company must
be registered as a legal entity with the Michigan Secretary of State, i.e., your company is in existence
in the state of Michigan, and cannot be in default of Michigan corporate rules, or suspended by the state of Michigan.

(MI Corporation, MI LLP or MI LLC)
- Your company cannot be in default or suspended as defined by the state of Michigan
- Your company must have filed all required annual reports required by the Michigan Secretary of State
- Your company must have paid all required Michigan state taxes and fees

Foreign Qualifications
|
|
Many companies require a Michigan Good Standing Certificate (Michigan Certificate of Existence) to qualify as a
"Foreign Corporation" in a state other than Michigan.
A Foreign Corporation is a corporation that is registered in one state and has the Authority to do business in another state.
For example, a corporation registered in the state of California that plans to do business in the state of Michigan is a "Foreign Corporation"
in the state of Michigan.

Most states require you to register as a Foreign Corporation in order to do business in their state.
In order to register as a Foreign Corporation, you must prove that you are registered in another state as a domestic
Corporation, and you usually have to prove this with a state Certificate of Good Standing (Certificate of Existence/Certificate of Authority).
