Michigan Good Standing Certificate (Michigan Certificate of Existence) is issued by
the Michigan Secretary of State and is often required for loans, to renew business licenses, or for tax or other business
purposes in the state of Michigan or in any other state.
A Michigan Certificate of Good Standing is evidence that your Michigan business franchise - your Michigan
Corporation or Michigan LLC - is in Existence, is authorized to
transact business in the state of Michigan, and complies with all state of Michigan requirements and therefore is in
"Good Standing" in the state of Michigan (MI).
Also known as a Michigan Certificate of Existence, a
Michigan Certificate of Status or a Michigan
Certificate of Authority, the Michigan Good Standing
Certificate is a one page document which looks like a letter and bears the seal of the state of Michigan
Secretary of State or another Michigan state agency if the Michigan Secretary of State is not the issuing authority.
A Michigan Good Standing Certificate is provided by the Michigan Secretary of State and is conclusive evidence of the
existence of your Michigan business franchise - your Michigan Corporation or Michigan LLC.
In most cases a Michigan Certificate of Good Standing can be valid up to
three months.
To obtain a Michigan Good Standing Certificate (Michigan Certificate of
Existence), your company must be registered as a legal entity with the Michigan Secretary of State, i.e., your company is
in existence in the state of Michigan, and cannot be in default of
Michigan corporate rules, or suspended by the state of Michigan.

Can I get a Michigan Certificate of Good Standing for a MI Sole Proprietorship or MI DBA

If you own a Michigan business and have not formed a Corporation, LLC, Partnership or other legal entity in the state of Michigan,
then you are a Sole Proprietor by default.
Nothing needs to be filed with the Michigan Secretary of State to create a Sole Proprietorship.
If you plan to use a name different from your first and last name then you would register in the Michigan county in which you do business
with your first and last name "Doing Business As" (DBA) the name of your business (for example: Sue Smith, DBA Sue's Michigan Business).
A Michigan Good Standing Certificate (Michigan Certificate of Existence) is
issued by the Michigan Secretary of State for business entities that have registered with the state of Michigan.
A Sole Proprietorship or DBA is not normally registered with the Michigan Secretary of State so a
Michigan Certificate of Good Standing cannot be issued for them.

in the state of Michigan.

in order to do business in their state.
In order to register as a Foreign Corporation in any state you must provide evidence that you are registered and are in
Good Standing in another state as a Domestic Corporation or LLC.
This evidence is a Certificate of Good Standing (Certificate of Existence/Certificate of Authority) from the state in which your
Corporation or LLC was originally formed.
