Hawaii Good Standing Certificate (Hawaii Certificate of Existence) is issued by the Hawaii Secretary of State
and is often required for loans, to renew
business licenses, or for tax or other business purposes in the state of Hawaii or in any other state. A Hawaii Certificate of Good Standing
verifies that your Hawaii Corporation or Hawaii LLC is in Existence, is authorized to transact business in
the state of Hawaii, and complies with all state of Hawaii
requirements and therefore is in "Good Standing" in the state of Hawaii (HI).
Also known as a Hawaii Certificate of Existence, a
Hawaii Certificate of Status or a Hawaii Certificate of Authority, the Hawaii Good Standing
Certificate is a one page document provided by the Hawaii Secretary of State and is conclusive
evidence of the existence of your Hawaii Corporation or Hawaii LLC. In most cases a Hawaii Certificate of Good Standing
can be valid up to three months.
To obtain a Hawaii Good Standing Certificate
(Hawaii Certificate of Existence), your company must
be registered as a legal entity with the Hawaii Secretary of State, i.e., your company is in existence
in the state of Hawaii, and cannot be in default of Hawaii corporate rules, or suspended by the state of Hawaii.

(HI Corporation, HI LLP or HI LLC)
- Your company cannot be in default or suspended as defined by the state of Hawaii
- Your company must have filed all required annual reports required by the Hawaii Secretary of State
- Your company must have paid all required Hawaii state taxes and fees

Foreign Qualifications
|
|
Many companies require a Hawaii Good Standing Certificate (Hawaii Certificate of Existence) to qualify as a
"Foreign Corporation" in a state other than Hawaii.
A Foreign Corporation is a corporation that is registered in one state and has the Authority to do business in another state.
For example, a corporation registered in the state of California that plans to do business in the state of Hawaii is a "Foreign Corporation"
in the state of Hawaii.

Most states require you to register as a Foreign Corporation in order to do business in their state.
In order to register as a Foreign Corporation, you must prove that you are registered in another state as a domestic
Corporation, and you usually have to prove this with a state Certificate of Good Standing (Certificate of Existence/Certificate of Authority).
