Need to form a corporation? Get all the info you need here. When you're ready, continue to our online order form. If you need additional help, feel free to contact us!
A corporation is a special kind of business with unique legal and tax rights. In addition, being a corporation can open many doors for you in the business world; you'll probably find it easier to get loans and attract partners and customers. In most states, you have to be registered with the state in order to call yourself a corporation.
A corporation is a "legal person." Like an individual, it can carry on business (or other activities), can sue or be sued, and can issue shares of stock to raise funds (unless it is non-profit). A major benefit of a corporation is that it protects the owners; if someone wants to sue, they'll sue the corporation, not you. (This is called the "corporate veil" and it doesn't always work, but it's still a major benefit over not being a corporation. See our Disclaimer.)
Do I need an attorney to incorporate a business?
PCF does not give legal advice. What we can say is that the state does not require you to have a lawyer in order to incorporate. We can prepare and file all the necessary paperwork for you. If you have any legal questions you should talk to an attorney. Otherwise, you can get started with our online order form right now!
When you form a corporation you have to give the state a physical address where they can send different kinds of legal notices. You can serve as your own registered agent. Or, we can serve as a registered agent on your behalf. Click here if you want to know more.
If you want to hire us as your registered agent, you can do so when you order a new corporation. If you already have a corporation and want to purchase our registered agent service a la carte, use our special online order form.
What is a Corporate Kit?
Our corporate kits help keep your corporation organized, and in compliance with the latest requirements. The corporate kit includes a personalized binder with organizational minutes, bylaws, customized steel corporate seal, stock certificates, and a stock ledger all organized with dividers. You can order one when you form a new corporation with us. If you already have a corporation and just want the kit & seal, you can still order one a la carte.
What information do I need to provide to incorporate?
