New Corporate Compliance
Since January 1, 2005, Board of Directors or Shareholders meetings for corporations, LLCs incorporated in California have a new easier option. Thanks to new technologies, it is now possible to meet through emails, facsimile, electronic message board, conference call, or video conference. As long as your bylaws do not forbid this type of meeting, you are free to use any of these options. However, if you rely on electronic means of meeting, make sure that you can retrieve and reproduce the information in a legible and tangible form.
Foreign Qualification
A foreign qualification also known as a Certificate of Authority is a document allowing a corporation or an LLC to transact business in a state other than the incorporation state. When you form a company in a state you are limited to transact business in that state and are considered as a foreign corporation or LLC in other states. However, if you decide to open an office in another state you will be asked for a Certificate of Authority. If you do not fulfill this requirement your business may be subject to fines and penalties by the State.
After obtaining a Certificate of Authority, your company will be able to transact business in the qualified state and will be subject to taxes and annual report fees in the state of incorporation and the other state(s) in which you qualified. Also, a registered agent is necessary for both the state of incorporation and the qualified state(s). The definition of "transacting business" is different from state to state. Make sure to consult a lawyer or an accountant to see how it applies to your business.
