North Carolina Corporation Annual Report

According to G.S.  55-16-22(c), business corporation Annual Reports eligible to be delivered to the North Carolina Secretary of State are "due by the due date for filing the corporation's income and franchise tax returns".

An Annual Report required to be delivered to the North Carolina Secretary of State is due by the fifteenth day of the third month following the close of the corporation's fiscal year.

Professional corporations and Non-profit corporations are not required to file Annual Reports.

According to G.S.  57C-2-23(c), Limited Liability Company (LLC) Annual Reports are due by April 15th of each year.

LLC Annual Reports are due for the year in which they are filed.   In other words, any LLC in existence on or before April 15th of any given year is required to file an Annual Report for that year.   An LLC that forms on April 15th would be required to file an Annual Report for that year.   An LLC that forms on April 16th (or after) is not in existence when the due date for an Annual Report occurs for that calendar year; therefore, LLCs that form after April 15th will not be required to file an Annual Report until the next calendar year.

Failure to submit a properly completed North Carolina Annual Report to the North Carolina Secretary of State on or before the due date may subject the North Carolina Corporation to being administratively dissolved in the state of North Carolina or having its authority to transact business in the state of North Carolina revoked by the North Carolina Secretary of State. Penalties may accrue for North Carolina Corporation Annual Reports which are submitted to the North Carolina Secretary of State after the due date.
