| What is a Foreign Corporation? |
A Foreign Corporation is a corporation that is registered in a
different state. For example, if a California Corporation does business in
Nevada, then the Nevada state government will treat that Corporation as a
Foreign Corporation.
Note that this is the old fashioned definition of "Foreign," meaning "from another state in the US." In
this case "Foreign" does not mean "from another country". Originally the US was viewed as a collection of
sovereign states, just like the European Union is today. People referred to "these United States." Now
we talk about "the United States" and think of it as one big country. Still, every state has its own
corporate laws and just because you're registered in one state doesn't mean you're allowed to do business in another
state. The state governments have solved this problem using something called Foreign Election.

Most states require you to register as a Foreign Corporation in order to do
business in their state. In order to register as a Foreign Corporation,
you must prove that you are registered elsewhere as a domestic corporation, and you usually have to prove this with
a Certificate of Good Standing.
