California law requires that all Corporations, Non Profits and LLCs located in California must perform certain tasks on a yearly basis.
|

Failure to properly maintain your Corporation, LLC or Non Profit and pay taxes could result in the suspension of your
business by the California Secretary of State.
|

A suspended California corporation cannot legally conduct business and may
not sue or defend a law suit. Contracts made by a suspended organization can be voided at the option of the other party.

Most importantly, it may be a criminal act to attempt to exercise any of these powers.

Here is a list of things you must do annually (every two years for LLC's) in order to be in compliance with all California state
corporation laws. Failure to perform these tasks on schedule may result in the suspension of your business by the
California Secretary of State.

Annual Statement of Information - $50 + California state fees |

All Corporations, Non Profits and LLCs located in California must file an initial Statement of Information
with the California Secretary of State within 90 days after filing of the original articles of incorporation. An updated
Statement of Information must be filed every year thereafter (every two years for LLCs).

You must file an Annual Statement of Information even if your company has
done no business during the prior year.
The Annual Report includes information on directors, officers and your company's general business activity. Information
on an Annual Report is kept strictly confidential.

soon as the Secretary of State has processed you application we will mail you an endorsed copy. In addition, we will
notify you each year when your Annual Report is due.

Minutes of Annual Meetings - $75 |

California law requires that an annual meeting of Shareholders be held each year for the election of directors for the coming
year and for any other business that may be of interest to the shareholders. A meeting of the Board of Directors
is usually held immediately after the annual Shareholders' meeting to elect officers of the organization for the next year,
and to approve any matters that have been presented to the Board.

Minutes of both Directors' and Shareholders' meetings must be kept. The minutes should identify the issues before the groups and
should be placed in the organization's minute book. A copy of these minutes, certified by the secretary, is evidence
that the meeting took place and that matters stated in the minutes transpired. California law requires that the
minutes of meetings of Shareholders and Board of Directors be open for inspection by any shareholder, director, or trustee.

Any Corporation or LLC formed in California must have an agent who is registered with the Secretary of State. The Registered Agent
must have a physical address within California.

The Registered Agent receives all official documents from the California and federal governments. The Registered Agent also acts
as the point of contact for any matters the government has regarding your business
thus protecting your privacy.

Good Standing Certificate - $30 + California state fee |
|

|
While not legally required by the California Secretary of State, you may want to obtain a Good Standing Certificate.
|
| |
|
A Good Standing Certificate is an official document from the California Secretary of State saying that you are an organization in good standing
with the state of California. This means you are registered with the Secretary of State, you're fully compliant with all
state laws, and you don't have any outstanding debt or taxes. A Certificate of Good Standing is sometimes called a "Certificate of Existence" or
"Certificate of Status".

Banks often want to see a Certificate of Good Standing before they give you a loan. Government agencies might want to see
one before giving you a license, or for tax purposes. Another reason you might need a Good Standing Certificate is if
you're registering as a foreign business.
